1. Who these terms bind
These terms are an agreement between DENVORA LLC (“Denvora”, “we”) and the business that opens an account (“the Merchant”, “you”). By opening an account or using the software you accept them. If you accept on behalf of a company, you confirm that you are authorised to do so.
They have two parts. Part one, the software terms, applies to every Merchant. Part two, the merchant agreement, applies as soon as you turn payments on. An order form or schedule signed with you may add to them; where the two conflict, the signed document prevails.
2. Definitions
“Software” means the Denvora application and its related services. “Account” means the Merchant’s workspace. “Buyer” means a person who buys a Merchant’s product on a Denvora payment page. “Sale” means an order collected by Denvora. “Net Proceeds” means the price paid by the Buyer, less sales tax collected by Denvora, the commission, refunds and disputes. “Payout” means the transfer of Net Proceeds to the Merchant. “Plan” means the subscription level chosen by the Merchant.
Part one: software terms
Sections 3 to 8 apply to every Merchant, whether or not payments are on.
3. Business use and your account
The Software is offered to businesses and professionals, not to consumers for personal use. You give accurate information, keep your credentials confidential, decide who on your team has access, and are responsible for what is done under your Account. Tell us without delay if you suspect unauthorised access.
4. The Software
Denvora provides online software for managing customers, orders, shipments and customer messages. We may change the Software over time. A change that substantially reduces what your Plan includes is announced at least thirty days in advance.
5. Plans and prices
The Solo plan is free of subscription charge. Paid Plans are billed in US dollars, monthly and in advance, at the price agreed with you in writing. Prices exclude any applicable sales tax. We may change the price of a paid Plan with at least thirty days’ written notice; you may cancel before the new price applies.
6. Term and cancellation of the subscription
There is no minimum term. You may cancel at any time from your Account or by writing to us; cancellation takes effect at the end of the current billing month. After cancellation you have thirty days to export your data.
7. Your data
You own the data you put into the Software. You grant us the right to host and process it to the extent needed to provide the Software. You can export your data at any time. After an Account is closed we keep its data for thirty days so it can be retrieved, then delete it, except where the law requires us to keep certain records.
For Buyer information relating to Sales, Denvora acts on its own behalf, as the seller. For other personal information you record about your customers, we act as your service provider and follow your instructions, as described in the Privacy Policy.
8. Availability and support
We work to keep the Software available and to announce planned maintenance in advance, but we do not promise uninterrupted service. Support is given by email at contact@denvora.app; we answer within one business day.
Part two: merchant agreement
Sections 9 to 18 apply to a Merchant who turns payments on. Together with any signed schedule, they form the merchant agreement.
DENVORA LLC publishes Denvora, order and customer management software, and sells, in its own name and on behalf of the merchants who use it, the products offered in their shops. Payments are processed by Stripe. Denvora is the seller of record for every order it collects: it bills the buyer, collects the applicable sales tax and pays merchants out under the agreement between them.
9. Appointment to sell
You appoint Denvora, and Denvora accepts, to sell in its own name and on your behalf the products you offer your customers from the Software. Denvora is the seller of record for every Sale: it concludes the sale with the Buyer under its Terms of Sale, issues the receipt and collects the applicable sales tax.
You choose your products, their descriptions and their prices, within the Acceptable Use Policy. You remain the owner of the products until they are sold and you prepare and ship them.
10. Verification and admission
Before a first Sale, Denvora verifies your business registration, the identity of the person who represents it, what you sell, your delivery and return conditions and your bank details. We may ask for supporting documents, decline a Merchant or a product, and repeat this review at any time. You keep this information up to date.
11. Payment
Payments are processed by Stripe, Denvora’s payment provider. The payment page is in Denvora’s name and reads “Sold by Denvora on behalf of”, followed by your shop name. The descriptor on the Buyer’s statement is “DENVORA*” followed by your shop name. Card fields are provided by Stripe: Denvora neither receives nor stores card numbers.
12. Commission
In return for selling on your behalf, Denvora keeps a commission on each Sale, payment fees included. The rate is set in your signed schedule before a first Sale. It is deducted from the price collected and shown on every Payout statement.
13. Payouts and timing
Denvora pays Net Proceeds by transfer to your business bank account, on the schedule set in your signed schedule. Recent Sales are paid out after a security hold, set in the same document, which covers delivery time and first claims. Each Payout comes with a statement listing the Sales, the commission, refunds and disputes.
14. Reserve
Denvora may hold back part of your Payouts to cover future refunds, payment disputes and penalties. The rate and duration of the reserve are set in your signed schedule or notified to you. They may be raised if disputes increase or your business changes. The reserve is released when it falls due, less any amounts charged against it.
15. Your obligations
You are responsible for your products complying with the laws and safety standards that apply to them, for the accuracy of their descriptions and for the lawfulness of selling them. You ship each order within the time announced to the Buyer, enter the tracking number in the Software and handle returns. You tell us without delay about any stock, delivery or compliance problem.
16. Refunds and disputes
Denvora handles Buyer requests under its Terms of Sale: returns, orders not received, items not as described. We decide on the refund after hearing you, except in urgent cases.
When we ask, you provide the relevant evidence within five business days: proof of shipment and delivery, messages with the Buyer, the description of the product sold. If you do not, Denvora may refund the Buyer or lose the dispute without further notice. Amounts refunded, disputes lost and related fees are deducted from your Payouts or from the reserve, or invoiced to you if these are not enough.
17. Suspension
Denvora may suspend your Sales, defer your Payouts up to the risk identified, or suspend your Account if you breach these terms or the Acceptable Use Policy, if fraud is suspected, if your dispute rate is abnormal, if deliveries fail repeatedly, or at the request of Stripe or an authority. We tell you in writing, unless the law forbids it, and you may respond.
18. Ending the merchant agreement
Either party may end the merchant agreement in writing, effective at the end of the current month. Sales already concluded are carried through. Amounts owed to you are paid out once the security hold and the reserve period have ended, less refunds and disputes still in progress.
Provisions common to both parts
Sections 19 to 26 apply to the whole of these terms.
19. Acceptable use
You agree to follow the Acceptable Use Policy, which lists the products and activities we refuse and forms part of these terms.
20. Intellectual property
The Software, its code, design and documentation belong to DENVORA LLC. We grant you a non-exclusive, non-transferable right to use the Software for your business for as long as your Account is open. You authorise Denvora to reproduce your shop name, logo and product images for the purposes of the sale. You may not copy, resell or reverse engineer the Software.
21. Third-party services
The Software can connect to services run by others, including carriers and online store platforms. Those services are governed by their own terms. We are not responsible for their availability or for their decisions.
22. Warranties
The Software is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all implied warranties to Merchants, including merchantability, fitness for a particular purpose and non-infringement. Nothing in this section limits what we owe Buyers as the seller.
23. Limitation of liability
To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special or consequential damages, or for lost profits or lost revenue. Denvora’s total liability to you for any claim relating to these terms is limited to the greater of the amounts Denvora kept or invoiced to you in the twelve months before the claim, or one hundred US dollars. Nothing in these terms limits liability that cannot be limited by law.
24. Indemnity
You agree to defend and indemnify Denvora against claims, judgments and penalties that arise from your products, their description or their delivery, or from your breach of these terms or of the law. This covers amounts Denvora has to refund or pay a Buyer as a result.
25. Changes, governing law and disputes
We may update these terms. We announce a material change at least thirty days before it applies, by email or in the Software.
These terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of laws rules. Any dispute that cannot be settled by discussion is brought before the state and federal courts located in Kentucky, and each party accepts their jurisdiction.
